Equity International, LLC is seeking an experienced corporate paralegal to assist in managing its private equity funds and portfolio company investments.  The paralegal will report directly to the Managing Director-Finance and Tax but will work closely with the CIO, CEO and the other members of the investment team. This position will be actively involved in all facets of EI’s business including entity formation, maintenance and dissolutions and portfolio company transactions.  Regular tasks will include the following:

  • Drafting, filing, and managing multiple entity documents for foreign and domestic corporations, LLCs, and partnerships
  • Drafting and reviewing various agreements including non-disclosure agreements, shareholder agreements, and stock purchase agreements
  • Creating and maintaining organizational documents and records, including resolutions, articles of incorporation and dissolution
  • Preparing and submitting filings required by foreign and domestic regulatory bodies
  • Assisting with regulatory and compliance issues
  • Preparing reports and other correspondence for limited partners
  • Managing engagements with outside counsel and other service providers
  • Performing legal research
  • Administrative support for legal and capital markets functions

 

The ideal candidate will have the following skills and experience:

 

  • 8+ years of experience as a corporate paralegal (in house and/or large law firm), private equity experience preferred
  • Excellent written and verbal communication skills and a self-starter
  • Superb attention to detail, as well as organizational and multi-tasking skills
  • Proficiency in Microsoft Office Suite
